Terms and Conditions of Sale
1. Payment Terms
All invoices are due within 30 days of issuance unless otherwise agreed in writing. Buyers are responsible for any applicable sales, use, customs, or excise taxes. Late payments may incur interest at 1.5% per month or the maximum permitted by law.
2. Orders and Pricing
We reserve the right to approve, suspend, or cancel Buyer credit at any time. If additional payment assurances are requested and not provided, we may withhold shipments. All pricing is EXW (Ex Works) origin warehouse unless stated otherwise. Collection costs, including reasonable attorney fees, may be charged on overdue accounts.
3. Delivery & Risk of Loss
Delivery occurs when goods are tendered to the carrier. All risk of loss transfers to the Buyer at that point. Shipping weights are as determined at the shipping origin. We retain a security interest in the goods until full payment is received.
4. Warranty Disclaimer & Limitation of Liability
All products are provided “as is” without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose. We are not liable for any indirect, incidental, consequential, or special damages—including loss of profits or business interruptions—even if advised of such possibilities.
5. Default & Damages
If Buyer defaults, we reserve the right to recover full contractual damages, including lost profits and costs of freight, storage, or resale. If items are retained or repossessed, any scrap value will be deducted from the Buyer’s liability.
6. Return Policy & Buyer Remedies
In the case of nonconforming goods, our sole obligation is to either replace the item or issue a refund upon return. Returns require prior written authorization and are subject to inspection. No other remedies or third-party claims are accepted.
7. Force Majeure
We are not responsible for delays or non-performance due to causes beyond our control, such as labor disputes, shortages, transportation delays, natural disasters, government actions, or unforeseen equipment failures.
8. Governing Law & Arbitration
This agreement is governed by the laws of the State of [Your State]. Any disputes arising will be resolved exclusively through binding arbitration in [Your City], in accordance with the rules of [e.g., JAMS or AAA]. Either party may seek interim relief through courts of competent jurisdiction.
9. Entire Agreement & Modifications
These terms represent the complete agreement between the Buyer and Seller. Any waiver or modification must be in writing and signed by both parties. In the case of conflicting terms, these Terms and Conditions shall prevail.
